Terms of sale

ShowTiming — Professionals only. Version 1.0 — Effective date: 28 July 2026. These Terms of Sale govern paid plans; access and usage rules are set out in the Terms of Use.

1. Purpose and scope

These Terms of Sale (the “ToS/CGV”) govern subscription to and performance of ShowTiming’s paid online software offerings (the “Service”).

The Service is SaaS software for live-event timing, rundown sync and timing displays. It includes an authenticated Control Room, read-only Stage links and, depending on the plan, Broadcast.

These ToS apply exclusively to professional Customers. Consumers and non-professionals are expressly excluded.

These ToS complement the Terms of Use at https://show-timing.com/en/terms. In case of conflict: the ToS prevail on price, payment, subscriptions, duration, renewal, termination and refunds; the Terms of Use prevail on access, usage, security, content, availability and liability, unless these ToS expressly provide otherwise.

2. Seller identity

The Service is sold by Lucas Ait Madi — sole trader. Trade name: ShowTiming. 91 rue d’Étion, 08000 Charleville-Mézières, France. ShowTiming provides the Service directly. It does not supply hardware, on-site installation, operated show-calling, ticketing, matchmaking, or collection of funds for third parties.

3. Professional eligibility

3.1 Eligible customers. Paid plans are offered only to natural or legal persons subscribing for their professional, commercial, craft, liberal, entrepreneurial or associative activity, including companies, sole traders, freelancers, technicians, stage managers, artists and intermittent workers acting professionally, and associations for their purpose or activity. Consumers and non-professionals may not subscribe.

3.2 Representations. The Customer represents they act solely for professional purposes; have legal capacity and, where applicable, authority to bind their organization; provide accurate information; and use the Service under the Terms of Use, these ToS and applicable law. ShowTiming may request reasonable proof and may refuse an order, suspend the Service or terminate the contract if verification fails.

4. Offers and services sold

4.1 Discovery. Free plan without a payment card, within limits shown on the site and in the product. As of this version: one (1) Event; sixty (60) cumulative live minutes per Event; two (2) Stage Links; Control Room within plan limits; no Broadcast. Discovery is not a paid offer and may be changed, limited, suspended or discontinued under the Terms of Use.

4.2 7-day Pass. One-off Pro access for one (1) Event for seven (7) consecutive days (168 hours). No auto-renewal; up to twenty (20) Stage Links and Broadcast; live not limited by Discovery’s 60-minute cap. The seven-day window starts on payment validation: the license is activated automatically upon Stripe payment confirmation (webhook) for the Event selected at checkout.

4.3 Pro Monthly. Monthly renewable Pro subscription: unlimited Events; unlimited live per Event; up to 20 Stage Links per Event; Broadcast; full Control Room. Initial one (1) month term, then monthly auto-renewal unless terminated (article 9).

4.4 Annual. Annual renewable Pro subscription with the same Pro features as Monthly. Initial one (1) year term, then yearly auto-renewal unless terminated (article 9).

4.5 Changes. Feature descriptions and limits are those shown on the order date. ShowTiming may evolve the Service under the Terms of Use. Material lasting adverse changes to an essential paid feature during an active plan will be notified within a reasonable time, except urgent security, compliance or technical necessity.

5. Contract documents and priority

The contract consists, in descending priority, of: any signed order form or special agreement; these ToS; the Terms of Use; the data processing agreement (DPA) for personal data the Customer entrusts to ShowTiming; the Privacy Policy; the Cookie Policy; and information shown at checkout and in the Stripe customer portal.

A signed special agreement prevails over these ToS within its scope. Contract documents are available in French. French prevails over any translation.

6. Ordering process and contract formation

6.1 Steps. Create an Account; accept the Terms of Use and Privacy Policy; select a paid plan; redirect to Stripe Checkout; review order, price, billing period, billing details and these ToS; confirm and pay; Stripe confirmation; webhook processing; license activation.

6.2 Formation. The contract is formed when the Customer confirms the order, Stripe accepts payment, and ShowTiming confirms license activation (notably via webhook). ShowTiming may refuse an order for non-payment, suspected fraud, inaccurate information, lack of professional eligibility, prior breach, or manifest pricing error.

6.3 Confirmation and evidence. Stripe sends a confirmation, receipt or invoice as configured. ShowTiming keeps proof of order, Terms/ToS acceptance, payment and activation. Electronic records are admissible evidence between the parties.

7. Price, VAT and invoicing

7.1 Prices. As of this version: Discovery €0; 7-day Pass €29 (one-off); Pro Monthly €29 / month; Annual €290 / year. Applicable prices are those shown at checkout, except manifest error, in euros.

Tax mention: VAT not applicable, Article 293 B of the French Tax Code (franchise en base), subject to changes in the Publisher’s tax status. This wording must remain consistent across pricing pages, Stripe Checkout, these ToS and invoices. If the franchise ends, prices and mentions will be updated under article 7.3.

7.2 Taxes. The Customer is responsible for accurate billing and tax data. Any taxes depend on the Customer’s situation and establishment. ShowTiming applies the regime matching its status and available information at checkout.

7.3 Price changes. ShowTiming may change future prices. For ongoing subscriptions, at least thirty (30) days’ notice before the next renewal. The Customer may terminate before renewal. No retroactive effect on a period already paid.

7.4 Invoicing. Invoices/receipts via Stripe or the Stripe customer portal. The Customer accepts electronic invoicing. Accounting records are kept for ten (10) years.

8. Payment terms

8.1 Provider. Payments are processed by Stripe. ShowTiming does not collect or store full card numbers. Stripe’s own terms also apply.

8.2 Methods. Those offered in Stripe Checkout, notably enabled cards. The Customer warrants authority to use the selected method.

8.3 Due dates. 7-day Pass: immediately at order. Pro Monthly: at subscription then each monthly renewal. Annual: at subscription then each yearly renewal.

8.4 Payment failure. On failure, refusal, chargeback or default, ShowTiming may withhold activation, suspend paid access, disable renewal or downgrade to Discovery, claim amounts due, or terminate (article 12). Retries and past-due status follow Stripe.

8.5 Deferred payment. As of these ToS, payment is online by card via Stripe. If invoice/deferred payment is later offered: 30-day payment term; late penalties as of right (ECB rate + 10 points); €40 fixed recovery fee, plus additional justified recovery costs if higher.

9. Term, renewal and termination

9.1 7-day Pass. Starts under article 4.2 and ends automatically after seven (7) days. No renewal.

9.2 Pro Monthly. Initial one-month term, monthly auto-renewal. Cancel via the Stripe portal before the next renewal; effect at the end of the period already paid.

9.3 Annual. Initial one-year term, yearly auto-renewal. Cancel via Stripe before the next renewal; effect at the end of the period already paid.

9.4 Assistance. Email hello@show-timing.com from the Account email. This does not automatically stop charges until cancellation is completed in Stripe.

9.5 No prorated refund. Except express commercial agreement, legal obligation, ShowTiming error, or major unavailability attributable to ShowTiming (article 10), early termination does not entitle the Customer to a prorated refund of the period already paid.

9.6 Termination by ShowTiming. Immediately for serious breach, fraud, security threat, unlawful use, payment circumvention or serious/repeated breach; after notice for non-serious breach; for persistent non-payment. Written notice, notably by email.

10. Cancellation, postponement, refunds and unavailability

10.1 Customer-cancelled or postponed Event. The Service is software access, not sold for a fixed show date. Cancellation, postponement or failure of the Customer’s Event does not automatically entitle to postponement, exchange, credit or refund. Activate the Pass considering the actual Event date (article 4.2). 10.2 Activated Pass. Generally non-refundable, except billing error, double payment, major Service failure attributable to ShowTiming preventing essential Pass use, legal obligation, or express commercial goodwill.

10.3 Unavailability attributable to ShowTiming. For major, continuous unavailability of an essential paid feature directly attributable to ShowTiming, ShowTiming may extend the Service, grant a credit, refund in whole or part, or offer a reasonable alternative. No refund where the cause is the Customer, a disclosed Access Link, force majeure or a third party beyond reasonable control.

10.4 Claims. Email hello@show-timing.com within thirty (30) days of the relevant event, with Account id, plan, date, description and useful technical elements. Without prejudice to legal rights or limitation periods.

11. Customer obligations

The Customer agrees notably to: use the Service only professionally; comply with the Terms of Use, these ToS, law and third-party rights; pay on time; keep billing/payment data accurate; keep credentials and Stage/Broadcast links confidential; verify fitness for purpose; maintain a backup plan; not use the Service as a safety, alert, evacuation, regulatory-control or emergency-communication system; maintain equipment and show processes; promptly notify ShowTiming of incidents or third-party claims; and hold rights over entered content.

12. ShowTiming obligations

ShowTiming agrees to: provide access matching the subscribed plan subject to payment and compliance; use reasonable means for proper operation; apply appropriate technical and organizational measures; handle support requests within a reasonable time; notify significant maintenance when reasonably possible; and meet applicable personal-data obligations.

ShowTiming owes a duty of care only and gives no warranty of continuous availability, error-free operation, universal compatibility or fitness for a particular purpose.

13. Support, maintenance and availability

Support via hello@show-timing.com and in-app tickets. Hours: business days. Indicative first response: within 48 to 72 business hours.

Unless a separate written commitment: no phone support, no 24/7, no on-show emergency support, no SLA or guaranteed response/resolution time, and no quantified availability commitment. The Customer must keep an independent backup plan.

14. Intellectual property

The Service and its elements are protected by intellectual property rights owned by ShowTiming or its licensors. Subject to payment and compliance, a personal, non-exclusive, non-transferable, non-sublicensable, temporary right to use the Service for internal professional needs within the plan.

Forbidden notably to copy, modify, decompile (except mandatory exceptions), resell, sublicense, bypass restrictions, or use ShowTiming marks without authorization. Customer Content remains the Customer’s; ShowTiming receives a limited technical license to provide the Service.

15. Personal data

ShowTiming processes data needed for Accounts, subscriptions, payments, invoices, support, security and operation as controller. Details: https://show-timing.com/en/privacy.

When the Customer enters third-party personal data, the Customer is generally controller and ShowTiming processor. DPA: https://show-timing.com/en/dpa.

16. Liability

16.1 Each party is liable for direct damage from proven contractual breach. The Customer alone is responsible for Event organization and safety, equipment, connections, Customer Content, Stage/Broadcast links and backup arrangements.

16.2 Exclusions. To the extent permitted by law, ShowTiming is not liable for indirect loss, including lost profits, revenue, data, customers or opportunity; reputational harm; Event disruption or cancellation; timing errors from misconfiguration or misuse; Internet, LAN, power, browser, screen, equipment or third-party failures; unauthorized access following the Customer’s sharing of an Access Link.

16.3 Cap. Subject to liabilities that cannot be excluded or limited by law, ShowTiming’s total aggregate liability for the same generating event is capped at amounts exclusive of tax actually paid by the Customer for the Service in the twelve (12) months preceding that event. For a 7-day Pass only: amounts exclusive of tax paid for that Pass. For Discovery: only direct damage from proven ShowTiming fault within legally admitted limits. Caps do not apply to willful misconduct, gross negligence where law so requires, bodily integrity harm, or other cases where exclusion is forbidden.

16.4 Balance. The parties acknowledge that prices, feature limits, lack of SLA, the Customer’s Event responsibilities and liability limits were taken into account in the economic balance of the contract, without overriding mandatory rules on significant imbalance in adhesion contracts.

17. Force majeure

Neither party is liable for failure caused by force majeure under Article 1218 of the French Civil Code. Prompt notice; suspension while the impediment lasts; termination possible if it becomes permanent or deprives the contract of its purpose.

Ordinary network outages, configuration errors, limited provider downtime or the Customer’s organizational difficulties are not automatically force majeure.

18. Changes to these ToS

ShowTiming may amend these ToS for legal, regulatory, tax, technical, economic, security or functional changes. The version accepted at subscription applies, subject to legally required changes or changes applying to future renewals.

Price changes: article 7.3. Material adverse ToS changes for an ongoing subscription: at least thirty (30) days’ notice, except urgency, security or legal obligation. The Customer may terminate before the change takes effect, ending at the close of the period already paid.

19. Assignment and subcontracting

ShowTiming may use technical providers and processors to deliver the Service (hosting, data, auth, email, payments, analytics, support), subject to its obligations.

ShowTiming may assign or transfer rights and obligations to an affiliate, successor or in a restructuring, provided the assignee assumes essential obligations and the Customer is informed when required by law. The Customer may not assign the contract, Account or licenses without ShowTiming’s prior written consent.

20. No waiver and severability

Failure by ShowTiming to enforce a provision is not a waiver of later enforcement. If a clause is void, unenforceable or deemed unwritten, it is severed only as needed; the remainder stays in force. The parties will seek a valid replacement economically close to the original intent.

21. Governing law and jurisdiction

These ToS are governed by French law.

In case of dispute, the parties shall seek an amicable solution. Written claim to hello@show-timing.com.

Failing amicable resolution, and where the parties contracted as professionals / merchants, exclusive jurisdiction is conferred on the courts with subject-matter jurisdiction in the district of the Court of Appeal of Reims, including interim relief, multiple defendants or third-party claims. Otherwise, statutory venue rules apply.
